TERMS OF SERVICE

1. COMPANY DETAILS

Procurement Tactics B.V., a company incorporated under the laws of the Netherlands, registered with the Chamber of Commerce under number 68638469, with its registered office at Ganzenmarkt 6, 3512GD Utrecht, Netherlands (“Procurement Tactics”, “we”, “us”, “our”).

2. SCOPE AND APPLICATION

These Terms govern access to and use of all services provided by Procurement Tactics, including but not limited to:

• Online courses
• Training programs
• Certifications
• Subscription-based learning platforms
• Related digital content and services (collectively, the “Services”)

These Terms apply to both:

• Consumers (B2C)
• Businesses acting in a professional capacity (B2B)

3. ACCEPTANCE OF TERMS

By accessing, purchasing, or using the Services, you agree to be bound by these Terms.

If you act on behalf of a legal entity, you represent and warrant that you have authority to bind that entity.

4. ACCOUNTS AND ACCESS

4.1 You may be required to create an account.

4.2 You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of login credentials
• Accept responsibility for all activities under your account

4.3 We reserve the right to suspend or terminate accounts in case of:

• Breach of these Terms
• Fraudulent or unlawful activity
• Misuse of the platform

5. SUBSCRIPTIONS AND ACCESS

5.1 Subscription Term

Access to Services is granted for the duration specified at purchase (typically 12 months).

5.2 Automatic Renewal

Subscriptions automatically renew for successive periods equal to the initial term unless cancelled prior to renewal.

You will receive notice at least 14 days before renewal.

You may cancel at any time via:

• Your account settings, or
• Written notice to support

Cancellation takes effect at the end of the current billing period.

By purchasing a subscription, you explicitly consent to automatic renewal.

6. PRICING AND PAYMENT

6.1 Prices are displayed on the platform or agreed in writing.

6.2 We reserve the right to modify pricing at any time.

6.3 For existing subscriptions:

• Changes apply only upon renewal
• At least 30 days’ notice will be provided
• You may cancel before the new price takes effect

7. REFUNDS AND GUARANTEES

7.1 All purchases are final and non-refundable except where required by applicable law.

7.2 Any money-back guarantee applies strictly under the conditions specified at the time of purchase.

7.3 The money-back guarantee does not apply to:

• Team or enterprise programs
• Customized or facilitated training
• Live or scheduled sessions

7.4 Notwithstanding the above, we may, at our sole discretion, provide refunds or credits.

8. ACCEPTABLE USE

You agree not to:

• Share or resell access credentials
• Reproduce, distribute, or exploit content commercially
• Use the Services for unlawful purposes
• Interfere with security, systems, or operations

9. INTELLECTUAL PROPERTY

All intellectual property rights in the Services remain with Procurement Tactics or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license for:

• Personal use (B2C), or
• Internal business use (B2B)

10. SERVICE AVAILABILITY

Services are provided on an “as is” and “as available” basis.

We do not guarantee:

• Continuous availability
• Error-free operation

We may modify, suspend, or discontinue Services at any time.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

11.1 Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

11.2 We shall not be liable for:

• Indirect or consequential damages
• Loss of profit, revenue, business, or data

11.3 Nothing excludes liability for:

• Death or personal injury due to negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under applicable law

12. TERMINATION

We may suspend or terminate access where reasonably necessary, including:

• Breach of Terms
• Abuse or misuse
• Legal or regulatory requirements

13. ENTERPRISE AGREEMENTS

Where a separate written agreement exists, that agreement prevails over these Terms in case of conflict.

14. GOVERNING LAW AND JURISDICTION

These Terms are governed by Dutch law.

Disputes shall be submitted to the competent courts in the Netherlands, unless mandatory law provides otherwise.

15. GENERAL PROVISIONS

• If any provision is invalid, the remainder remains in effect
• Failure to enforce rights does not constitute waiver
• These Terms constitute the entire agreement
